Business / organisation (if applicable): __________________________________________________________
Address: __________________________________________________________________________________
Phone: __________________________ Email: __________________________ Country of residence: __________________
Customer B and Company A are each a “Party” and together the “Parties”.
1. PURPOSE AND NATURE OF SERVICES
Customer B appoints Company A to provide the career counselling, information, advisory, interview coordination and other facilitation services specifically selected in the Service Order / Annexure A. Services may relate to career opportunities, jobs and education abroad, including Europe, Serbia, Gulf countries, Maldives and other destinations, subject to availability and applicable law.
Company A may provide information about job-search procedures, advertised vacancies, roles and duties, stated salary ranges, working and living conditions, cultural information, interview scheduling, document checklists, application coordination, visa-process information, travel-ticket assistance coordination and other services expressly agreed in writing.
The exact destination, occupation/program, deliverables, fees, payment milestones, estimated timelines, inclusions, exclusions and any special conditions must be recorded in Annexure A or a signed written proposal/invoice. No unlisted service is included automatically.
Public-facing amount policy: Monetary amounts are intentionally not published here. Final fees, refunds, deductions and settlements are subject to individual consultation and written mutual confirmation.
2. ROLE, LICENSING STATUS AND LEGAL DISCLAIMER
Company A provides career counselling, advisory, interview-aggregation and facilitation services. Company A does not represent itself under this Agreement as a recruiting agent authorised by India’s Ministry of External Affairs (MEA). Unless separately and lawfully authorised, Company A will not claim to act as an MEA-licensed overseas recruiting agent. Where recruitment, employer sponsorship, work-permit issuance, visa decisions or regulated placement activity must be performed by an authorised recruiting agent, employer, government authority or other licensed entity, that activity must be handled by the legally authorised entity.
Customer B acknowledges that counselling or facilitation does not itself guarantee an interview, job offer, work permit, visa, residence permit, entry clearance, travel, employment commencement or renewal. The Parties must comply with applicable Indian law and the destination country’s laws. Nothing in this Agreement excludes a legal obligation that cannot lawfully be excluded.
3. SERVICE PROVIDER RESPONSIBILITIES
- Explain the agreed service scope, stated fees, payment stages, known exclusions and available process information in a reasonably clear manner.
- Share vacancy or program information available to Company A and identify material limitations or uncertainties known to it; information supplied by employers, agencies or other third parties may change and should be independently verified.
- Provide the agreed counselling, coordination and document-support services with reasonable care and maintain records of payments and material communications in accordance with applicable law and the Company’s recordkeeping practices.
- Obtain Customer B’s consent before sharing personal documents with an employer, authorised recruitment agency, service provider or authority, except where disclosure is otherwise legally required.
- Issue receipts or written payment acknowledgements for amounts received, and communicate material changes to the agreed process when reasonably practicable.
4. CUSTOMER RESPONSIBILITIES
- Provide complete, accurate, genuine, current and legible information and documents, and promptly correct any error or change.
- Verify the role, employer, work location, salary, deductions, working hours, accommodation, food, benefits, contract terms and other employment conditions before accepting an offer.
- Attend scheduled interviews and appointments, respond to requests within stated deadlines, and pay agreed fees and third-party charges when due.
- Attend medical examinations, obtain police clearance certificates and other required documents, and comply with lawful instructions from competent authorities and authorised service providers.
- Do not submit forged, altered, misleading or unauthorised documents, misrepresent qualifications or experience, or make false statements to employers, agencies, embassies, consulates or government authorities.
- Keep copies of submitted documents, receipts, applications, offer letters and official decisions. Customer B should not surrender an original passport or other original document except to a legally authorised recipient against an appropriate receipt and for a legitimate purpose.
5. VACANCIES, OFFERS AND EMPLOYMENT CONDITIONS
Any vacancy, position, salary range, benefit, work location or offer mentioned in a proposal is indicative unless confirmed in a valid written offer or employment contract issued by the employer or authorised entity. Final selection and employment terms are determined by the employer and applicable law. Illustrative salary ranges must not be treated as guaranteed earnings or as a promise of a particular job.
The employer’s written contract and applicable labour law govern the employment relationship. Customer B must read and understand the contract before signing. Company A is not the employer and does not control an employer’s hiring decisions, internal policies, workplace conduct, salary payments or later employment decisions.
6. PROCESSING TIMES AND THIRD-PARTY DEPENDENCIES
Any timeline is an estimate, not a guarantee. Processing depends on employer decisions, document completeness, background checks, medical results, government processing, appointment availability, embassy/consulate/VFS capacity, courier services, public holidays, policy changes and other third-party factors.
The original proposal used an indicative Europe work-permit processing estimate of 2–4 months (also described as 120 working days for refund purposes). The applicable estimate and the exact start date for counting time must be specified in Annexure A. Any destination-specific selection or visa timeline for Gulf, Maldives or other programs must likewise be written in Annexure A and must not be interpreted as a guarantee.
Renewal of a work permit, visa or temporary residence card depends on the competent authority, employer and employee meeting applicable requirements and any lawful agreement between them.
7. FEES, PACKAGE INCLUSIONS AND PAYMENT
Public disclosure notice: Monetary amounts are not published on this public page. The final service/package price and payment stages will be discussed privately during consultation and confirmed in Annexure A or a written proposal/invoice accepted by both Parties. The total service/package price and all payment stages must be confirmed in Annexure A or a written proposal/invoice accepted by both Parties. Unless expressly included in that schedule, government charges, third-party fees, courier costs, translation, attestation, accommodation, food, local transport and other expenses are excluded.
Private commercial terms: No service fee, package price, instalment, payment milestone or other monetary amount is disclosed on this public page. Any applicable amount and payment schedule will remain blank in public-facing materials and will be discussed individually during consultation, then recorded only in a written proposal, invoice or Annexure A mutually accepted by the Parties.
Where the above illustrative Europe package is selected, the proposal listed work permit, visa fee, embassy fee, PCC application, medical insurance and air ticket from Delhi as inclusions. The Parties must identify the payer, provider, limits, refundability and any exclusions for each item in Annexure A. No third-party or government fee should be represented as included unless confirmed in writing.
Payments must be made only through the payment methods and account details officially communicated by Company A. Customer B should obtain a receipt for each payment. No employee, agent or intermediary is authorised to vary the Agreement or collect money outside the Company’s officially communicated process unless Company A confirms that authority in writing.
The stage-based payment obligations, instalment plan and any amount payable after joining must be clearly specified before signing. No term in this Agreement authorises a charge prohibited by applicable law.
8. REFUND POLICY
Public disclosure notice: No refund amount, deduction, retention, settlement figure, service fee or other monetary amount is disclosed in public view. All amount fields are intentionally left blank on this page. The applicable terms will be discussed individually during consultation and recorded in a written settlement/service schedule mutually reviewed by the Parties.
The refund rules applicable to the selected service must be completed in Annexure A before payment. Any refund will be assessed against the selected program, work performed, amounts actually received, third-party amounts already paid or irrevocably committed, the reason for cancellation or failure, and applicable law. No refund restriction applies to the extent it is prohibited by law.
- Europe program—work permit not issued: the applicable refundable amount, timeline start date, exclusions and refund trigger must be discussed during consultation and confirmed in writing in Annexure A before signing. Refund amount: ____________________.
- Visa refusal: any refund review must consider available official written embassy confirmation, the reason for refusal and the agreed offer details. Any applicable deduction or refund amount must be discussed privately, recorded in Annexure A, and remain subject to applicable law. Refund/deduction amount: ____________________.
- Other destinations: any applicable refund trigger, timeline, evidence requirements and treatment of third-party expenses must be discussed privately and recorded in Annexure A. Refund amount and applicable deductions: ____________________.
Where a refund is approved or becomes due, Company A will initiate it within 30 days of the written final determination, unless applicable law requires a shorter period. The refund decision, calculation and expected payment date should be communicated in writing. Refunds will ordinarily be made to the original payer through a traceable payment method.
Customer B must submit a written refund request with the reference number, payment proofs and relevant supporting documents. The Parties will cooperate to resolve any disputed calculation promptly. Nothing in this clause limits a statutory refund or consumer remedy.
9. CANCELLATION AND TERMINATION
Customer B may request cancellation by written notice to Company A. The cancellation date is the date the notice is received. The refund, if any, will be calculated under Clause 8 and Annexure A, taking account of services performed and lawful, documented third-party costs.
The original proposal stated that cancellation before work-permit/visa approval could result in the advance being treated as non-refundable, and that cancellation after work-permit approval and receipt of a soft/hard copy could trigger the full India-payable service cost for Europe or a project-specific amount for other destinations. Any such amount must be expressly stated and justified in Annexure A, remain subject to applicable law, and not operate as an unlawful penalty.
Company A may suspend or terminate services for material breach, non-payment, false or forged documents, abusive conduct, lack of required cooperation, legal restrictions, material changes in vacancy availability, or a third party’s withdrawal of the relevant opportunity. Where Company A terminates a service for reasons not attributable to Customer B, it will provide a written account and refund any amount legally refundable, including amounts received for services not performed where required by law.
Termination does not affect accrued payment obligations, confidentiality, data protection, dispute-resolution provisions or other clauses intended by their nature to survive termination.
10. DOCUMENT HANDLING AND AUTHORISATION
Customer B authorises Company A, only to the extent separately selected and consented to in writing, to organise, transmit or submit copies of relevant educational certificates, experience letters, police clearance certificates, medical reports, passport/visa-related documents and other application materials to the identified employer, authorised recruitment agency, service provider or competent authority for the stated purpose.
This clause is not a blanket authority to retain, transfer or submit original documents. The recipient, purpose, document list, duration and return arrangements for any original documents must be recorded in a separate document-receipt/authorisation form. Customer B should receive a receipt whenever an original document is handed over.
Company A will take reasonable care when handling documents within its control. Responsibility for loss, delay or damage caused by a third party will be assessed according to the facts, applicable law and the relevant third-party terms; this Agreement does not automatically absolve any Party of liability for its own negligence, wilful misconduct or legal breach.
11. CONFIDENTIALITY AND DATA PROTECTION
Each Party will use the other Party’s non-public confidential information only for the purposes of this Agreement and will take reasonable steps to protect it. Confidential information does not include information that is public through no breach, already lawfully known, independently developed, or required to be disclosed by law or competent authority.
Personal data and documents will be collected, used, stored and shared only for legitimate stated purposes, with appropriate consent or other lawful basis and in accordance with applicable data-protection law. Customer B acknowledges that cross-border sharing may be necessary for the selected application, where lawful. Company A will apply reasonable safeguards and limit access to people who need the information for the agreed purpose. The Parties should use the Company’s published privacy notice, if applicable, for further details.
A Party required by law to disclose confidential information should, where legally permitted, notify the other Party before disclosure. Confidentiality obligations continue after this Agreement ends for as long as the information remains protected by law or is otherwise confidential.
12. NO GUARANTEE; LIMITATION OF RESPONSIBILITY
Company A will provide the agreed advisory and facilitation services with reasonable care, but cannot guarantee selection, an interview, job placement, a particular salary, permit or visa approval, appointment availability, travel, employer conduct or continued employment.
After joining, employment-related disputes—including salary, working conditions, termination, mistreatment and contract enforcement—should be raised with the employer and the relevant competent authority or legally authorised agency. Company A may provide further advisory assistance if separately agreed, but is not responsible for decisions or acts controlled by third parties.
To the extent permitted by law, neither Party is liable for indirect or consequential loss that was not reasonably foreseeable. Nothing in this Agreement excludes liability for fraud, wilful misconduct, gross negligence where exclusion is prohibited, breach of applicable law, or any other liability that cannot lawfully be limited.
13. FORCE MAJEURE
Neither Party will be responsible for delay caused by events beyond its reasonable control, such as natural disasters, epidemic/pandemic restrictions, war, civil unrest, government restrictions, changes in law, closure of consular services or major transport disruption, provided the affected Party informs the other in writing within a reasonable time (the original form specified three days where practicable) and takes reasonable steps to reduce the impact. Force majeure does not automatically cancel a refund otherwise required by law or this Agreement.
14. COMMUNICATIONS, NOTICES AND RECORDS
Formal notices may be delivered by hand, recognised courier, or email/other electronic channel specified below, with reasonable evidence of delivery. Each Party must promptly notify the other of changes to contact details. The Parties should retain copies of this Agreement, Annexure A, receipts, consents and material communications.
Company notice email: ______________________________ Customer email: ______________________________
15. DISPUTE RESOLUTION, GOVERNING LAW AND JURISDICTION
The Parties will first attempt to resolve a dispute through good-faith written discussion. If unresolved, either Party may pursue remedies before a competent forum. This Agreement is governed by the laws of India, subject to applicable mandatory laws and consumer protections. Courts or forums having lawful jurisdiction in Kolkata, West Bengal may be approached where legally permissible. Nothing in this clause removes a right to approach a statutory authority, consumer commission or other forum where such right cannot be waived.
16. GENERAL TERMS
This Agreement, Annexure A, the accepted proposal/invoice and any signed addendum constitute the entire agreement for the selected services and replace prior discussions on the same subject. If documents conflict, the most recent mutually signed addendum controls, followed by Annexure A and then this main Agreement, unless expressly stated otherwise.
Any amendment or waiver must be in writing and accepted by both Parties. If a provision is held invalid, the remaining provisions continue to apply to the extent possible. Neither Party may transfer its rights or obligations in a way that materially affects the other Party without written consent, except as permitted by law. No delay in enforcing a right is a waiver. Headings are for convenience only.
This Agreement may be signed in counterparts and by a legally valid electronic/digital signature or other electronic acceptance where permitted by law. Each Party confirms that it has had an opportunity to read the Agreement, ask questions and obtain independent advice before signing.
